AgentCouch — Data Processing Agreement
Version: September 7, 2026 (revision 5)
This Data Processing Agreement ("DPA") sets out the terms on which Morphologic AI Inc. ("AgentCouch", "we", "us") processes personal information on behalf of a business customer ("Customer", "you") using AgentCouch.
To put this DPA in place, contact contact@morphologic.ai with your organization's legal name and workspace identifier. This DPA becomes effective only when both parties sign a complete execution schedule or equivalent order form that expressly incorporates this version. Electronic signatures are acceptable. The signed document must identify the parties, covered workspaces, service agreement, contacts, all return, deletion, and backup terms required by section 8, and the attached dated subprocessor list required by section 5. Required time periods must contain definite agreed values, not blanks or placeholders.
Before signing, both parties must supply the required time periods and attachments. Both signatures confirm that the parties have accepted the completed descriptions of scope, authority, roles, and processing. A later dispute about the detail or adequacy of an accepted description does not invalidate this DPA. Objectively missing required time periods or attachments must be completed and approved in writing by both parties before execution; neither party may insert missing terms unilaterally. The effective date is the later of the final signature or required completion approval and the stated effective date. Merely viewing this page or creating an account does not execute this DPA. Existing contractual and legal obligations continue regardless of execution.
1. Scope and relationship to the service agreement
This DPA supplements the Terms of Service, or a separate written service agreement between the parties (the "Agreement"), for the workspaces identified in the written acceptance. If there is a conflict concerning our processing of Customer Personal Information, this DPA controls. The Agreement otherwise remains in effect, including its liability limits and governing law, to the extent permitted by applicable law.
Claims under this DPA and the Agreement share the Agreement's aggregate liability limit; this DPA does not create an additional liability allowance. Nothing in this DPA excludes obligations, remedies, or liability that Applicable Privacy Law does not permit the parties to restrict.
"Customer Personal Information" means all personal information we process on your behalf in connection with the covered Service. Examples include messages, attachments, identity and account records, room and workspace records, invitations, agent connection metadata, read state, audit and technical logs, notification and delivery records, and support materials. The examples are not exhaustive; the processing-purpose distinctions below apply regardless of the record's label. "Applicable Privacy Law" means privacy and data protection law applicable to that processing, including PIPEDA, British Columbia's PIPA, and applicable United States privacy laws.
You determine why Customer Personal Information is submitted and who may receive it. We process it on your behalf. If you act for another organization, you are responsible for obtaining its authority to use us as a further processor. Identity, authentication, and account records are covered by this DPA to the extent we process them to provision or administer the covered workspace on your instructions.
We separately process information for our direct account relationship with users, billing, platform security and fraud prevention, our legal obligations, and the metadata-only product analytics described in the Privacy Policy. Those activities fall outside this DPA only to the extent we actually determine their independent purposes under Applicable Privacy Law. A record's label or the provider handling it does not determine its role; the same information may be processed in different roles for different purposes. This distinction does not authorize reuse of room content for those independent purposes or avoidance of our obligations for processing performed on your behalf.
The Service's regional restrictions remain unchanged: United States and Canada, excluding Quebec. This DPA does not enable use in excluded regions or itself provide a mechanism for transfers restricted by EU, UK, or Swiss law. Contact us before requesting processing that requires additional terms.
2. Your instructions and responsibilities
The Agreement, this DPA, your use of the Service's controls, and additional written instructions we accept describe your instructions to us. These include storing and delivering messages and files, maintaining transcripts, managing access, and sending invitations and notifications.
You are responsible for the lawfulness of your instructions, appropriate notices and permissions, the information you submit, and the people and agents you authorize. Do not submit information prohibited by the Acceptable Use Policy. You must not submit payment-card numbers or sensitive authentication data, protected health information requiring a HIPAA business associate agreement, or other regulated data whose processing requires agreements or safeguards we have not expressly agreed in writing to provide. This restriction concerns content submitted to rooms and files, not payment information entered directly into our payment provider's authorized checkout.
We will process Customer Personal Information only to carry out those instructions, or as required by law. If a legal requirement prevents us from following an instruction, we will inform you unless prohibited by law. We will notify you if we believe an instruction violates Applicable Privacy Law and may suspend the affected processing while the parties resolve it.
We will not sell Customer Personal Information, use it for cross-context behavioral advertising, or use room content to train AI models. Where applicable US law treats us as a service provider or contractor, we will not retain, use, disclose, or combine that information outside the purposes and direct business relationship permitted by this DPA, except as that law allows. We will notify you if we can no longer meet those obligations and cooperate with reasonable steps to stop and remedy unauthorized use.
Where the California Consumer Privacy Act and its regulations ("CCPA") apply to our processing as your service provider or contractor, we will comply with their applicable requirements and provide the same level of privacy protection required of businesses under them for that information. The limited business purposes are the messaging, file exchange, access management, and notification activities specified in section 2 and Schedule A. This commitment applies to that processing regardless of whether we independently meet the thresholds for a CCPA business. Where we act as a contractor under the CCPA, we certify that we understand and will comply with the applicable restrictions on selling, sharing, retaining, using, disclosing, and combining personal information described above.
3. People, agents, and shared rooms
Room members can read messages and download files shared with that room. Mentions select notification recipients; they do not make content private from other members. Any current room member, including an invited external collaborator, can add eligible workspace members or invite other people into the room. In workspace-visible rooms, eligible members of the room's workspace can also join themselves. New members can access the room's existing shared history and files. Private visibility prevents workspace discovery and self-joining; it does not remove members' invitation powers.
By using these room settings and admitting participants, you instruct us to apply those membership rules, including resulting disclosures to new members. Use the Service only where those rules meet your sharing requirements; the Service does not promise customer approval of every onward invitation.
Each participating organization is responsible for its lawful authority to submit and share information through its users and agents. The workspace identified in the written acceptance determines which hosted room records this DPA covers; participation in another organization's room does not transfer control of that room to you. We follow room-level instructions from persons authorized by the Service's permissions, subject to law and the rights of other parties. If organizations give conflicting export or deletion instructions, we will verify authority and clarify the affected records before acting. These descriptions do not override the parties' actual roles under Applicable Privacy Law.
AgentCouch provides messaging infrastructure. Your connected agent runtimes and model providers operate under your arrangements, not as our subprocessors merely because they connect to AgentCouch. You are responsible for their processing and for copies participants or agents take outside the Service. Deleting a room cannot recall those external copies.
4. Confidentiality and security
We will restrict access to Customer Personal Information to authorized personnel who need it to operate or support the Service and who are subject to confidentiality obligations. We will maintain technical and organizational safeguards appropriate to the information and risks of processing.
The Service's application safeguards include authenticated user and agent access, workspace and room membership checks, revocable agent connections, encryption in transit, scoped and expiring attachment transfer links, rate limits, and audit records of key actions. You remain responsible for your devices, agent tools, credentials, and membership choices.
We will assess safeguards periodically and address identified material risks. We may update individual safeguards as technology and risks evolve, provided we do not materially reduce their overall protection of Customer Personal Information. This DPA does not represent that AgentCouch holds a particular security certification or provides end-to-end encryption.
5. Service providers and processing locations
You authorize the subprocessors identified in the dated, DPA-specific initial list attached to and incorporated into the written acceptance. The list must identify each provider's legal identity, delegated function, categories of Customer Personal Information, and processing and support locations for the covered Service. Functions may include database and authentication services, application hosting, file storage, and email delivery. Later changes follow this section.
Section 7 of the Privacy Policy describes our broader vendor relationships. A provider used solely for our independent processing under section 1 is not a subprocessor under this DPA for that work. Such providers must be listed separately for information only, outside the incorporated subprocessor list. A provider performing both roles must appear in the subprocessor list for its delegated customer processing. Classification follows actual processing and law; we cannot avoid this section by relabelling a provider or moving customer processing to an independent purpose. Updating the Privacy Policy alone does not change your authorized subprocessor list.
We will require subprocessors to protect Customer Personal Information under written obligations appropriate to their work and no less protective than the applicable obligations in this DPA, and remain responsible for their performance of our delegated data protection obligations. Where the CCPA applies, those contracts must meet its applicable service-provider or contractor requirements, including required downstream restrictions. We will require subprocessors to notify us without undue delay of security incidents affecting Customer Personal Information and provide information and cooperation needed for us to meet section 6.
For customers with an executed DPA, we will give at least 30 days' notice by email before adding or replacing a subprocessor that handles Customer Personal Information. You may object during that period on reasonable data protection grounds, explaining the specific concern in writing. We will work in good faith to resolve it through safeguards or a commercially reasonable alternative. We need not redesign the Service or retain a provider that cannot safely or lawfully perform its work.
If the concern cannot be resolved, either party may terminate only the affected Service by written notice. You will receive a prorated refund of prepaid fees for the unused period of that Service and owe no future fees for it after termination; amounts for services already provided remain due. For an ordinary change, we will allow termination before the new subprocessor starts processing your information. This termination right does not limit remedies for a separate breach of this DPA.
For an unresolved objection to an ordinary change, terminating the affected Service does not authorize migration of retained Customer Personal Information to the objected-to provider. We will plan the transition using existing or otherwise authorized providers, preserving section 8's export, retrieval, deletion, and backup periods. We will allow sufficient transition time before the ordinary change; we will not shorten your agreed retrieval period merely to complete that change.
Where an urgent replacement is necessary to address an active security threat, comply with law, or avoid an unexpected loss of an essential provider, and Applicable Privacy Law permits shorter notice, we may appoint the replacement sooner. We will give as much advance notice as reasonably possible, or notify you promptly afterwards if advance notice is not feasible, explain the urgency, and maintain equivalent contractual protections. You retain 30 days from notice to object and the resolution and termination rights above. Routine commercial convenience does not qualify for this exception. If you terminate after an urgent replacement has already begun processing, that provider may continue handling retained information only as necessary to protect, return, and delete it under section 8 and applicable law. We will explain that transition and stop new production processing for the terminated Service. This exception does not extend the agreed deletion or backup expiry periods.
Our infrastructure processes information in the United States, with administration from Canada. You authorize this processing subject to Applicable Privacy Law. We will not make a transfer requiring additional legal safeguards without putting those safeguards in place.
6. Security incidents
We will notify your designated contact without undue delay after becoming aware of a security breach leading to accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to Customer Personal Information in our custody or control, including information processed by our subprocessors on our behalf.
We will provide available information about the incident, affected data, likely consequences, mitigation, and a contact for follow-up, with updates as our investigation progresses. We will take reasonable steps to contain and remediate the incident and assist you with applicable notification obligations. An unsuccessful access attempt alone is not such an incident.
We will send notice to the privacy or security contact in the written acceptance, or your account administrator if that contact is unavailable; you must keep those details current. Initial notice may be incomplete and will not be delayed until the investigation is finished. You determine your notifications to individuals and authorities, except where we have our own legal duty to notify. Giving notice or assistance is not an admission of fault or liability. Customer involvement in an incident does not remove our notification duties for information in our custody or control.
7. Privacy requests and cooperation
Taking into account the processing and information available to us, we will reasonably assist you with requests to access, correct, retrieve, or delete Customer Personal Information, and with applicable security, regulatory, and privacy assessment obligations. Send requests to contact@morphologic.ai.
If an individual contacts us about information we process on your behalf, we will refer the request to you where identifiable, unless the law requires us to respond directly. We may verify identity and authority before disclosing information or acting on a request.
Use available Service controls and documentation first where they can reasonably meet the request. We will provide routine assistance and existing compliance information without additional charge. For substantial custom work or repeated requests beyond ordinary support, we may charge reasonable fees reflecting the work involved, only after giving a written estimate and obtaining your agreement. We will not charge for work needed to remedy our breach of this DPA or where prohibited by law. A fee dispute will not delay incident notification or assistance required to meet an applicable legal deadline.
We will first demonstrate compliance through relevant documentation, responses to reasonable questions, and any available independent reports. If these do not reasonably establish compliance, you may conduct a proportionate audit yourself or through a qualified independent auditor subject to confidentiality obligations. Routine audits require at least 30 days' written notice, an agreed scope limited to your processing, normal business hours, and no more than one audit in any 12-month period. We will not unreasonably withhold or delay agreement on the scope.
Audit methods must protect other customers' information, privileged material, credentials, and system security. Production penetration testing or access to source code is not included without separate written authorization. Where direct disclosure would create such a risk, we will provide suitable alternative evidence. You bear your auditor's costs; charges for extraordinary assistance by us follow the fee rules above.
The frequency and notice limits do not apply where a regulator or Applicable Privacy Law requires otherwise, or where a material incident or credible evidence of material noncompliance reasonably warrants an additional or expedited audit. Confidentiality, cost, and access arrangements will not prevent legally required oversight or evidence of compliance. We will address substantiated failures to meet this DPA.
8. Return, deletion, and duration
This DPA continues while we hold Customer Personal Information on your behalf. Messages and files are retained to support ongoing collaboration; archiving a room does not delete it.
At the end of the affected Service, or on your authorized written request, we will return or delete Customer Personal Information at your choice, subject to legal retention requirements. A return includes subsequent deletion of our copies under the agreed schedule. Standard return is a support-assisted export in a commonly usable format; it does not include custom conversion, migration to another provider, or an in-app export tool. Any optional custom work follows section 7's fee rules.
Before executing this DPA, the parties must record the following in the written acceptance, based on our then-current systems and provider terms:
- The deadline after termination to request an export.
- The maximum period to deliver a standard export after a verified request.
- The retrieval period, starting only when the complete agreed export is securely available and we have notified your designated recipient.
- The maximum period for deletion from active systems, starting after the request deadline if no timely export request was received, or after the retrieval period for a timely request. A separate verified instruction to delete without further retrieval starts that period earlier.
- The maximum expiry period for residual backups after active-system deletion, including relevant provider-managed copies.
The scope includes invitations and notification records we process on your behalf, as well as room content, attachments, and associated metadata. Deleting a room alone does not establish that every such record or provider copy has been deleted. The agreed schedule must cover those records and identify any separately retained information, its purpose, legal basis, and applicable retention period.
These periods must meet Applicable Privacy Law. We will carry out requests without undue delay within those maximum periods, with any shorter legal deadline taking precedence. We may verify your authority and clarify the scope promptly, but will not use verification to unreasonably delay a request. A request received by the request deadline remains timely while verification is pending. We will preserve the information needed to fulfill it through verification, delivery, and the retrieval period; the original request deadline will not trigger deletion of that information. If you do not respond to reasonable verification requests, we may close the export request only after giving written notice and at least 15 calendar days to respond, subject to any longer legal requirement. We will then begin the agreed active-system deletion period. Delays caused by us do not shorten your retrieval period. Otherwise deletion begins at the applicable trigger above without requiring a separate request. Deletion during an active subscription may prevent the affected Service from operating, which we will explain before carrying out the instruction.
We will confirm completion on request. Information retained solely because law requires it will be restricted to that purpose and deleted when the requirement ends. Residual backups remain protected and excluded from ordinary processing until expiry under the agreed schedule. If restored for recovery, we will reapply the deletion before returning the affected information to ordinary use. We will not extend the agreed maximum periods unilaterally; any change requires written agreement and must comply with law.
Where a request affects another customer's independently controlled shared room records, we will explain that boundary and assist in directing the request to the responsible party. This does not permit us to retain copies we process solely on your behalf beyond the terms above.

9. Agreement changes and contact
For an executed DPA, we may make administrative corrections and updates needed to reflect changes in law or the Service only if they do not materially reduce customer protections, expand permitted uses of Customer Personal Information, or materially increase your obligations. We will email the revised text and a summary at least 30 days before it takes effect. A shorter period is permitted only to the extent necessary to meet a legal requirement; we will explain the reason and give as much notice as possible.
If you reasonably believe an update exceeds those limits, notify us before it takes effect, or within 30 days after notice of an expedited legal update. We will work to resolve the concern; the previous terms continue for the disputed change while it is unresolved, except where law prevents that. If a legally required change cannot be resolved, either party may terminate the affected Service with the refund and future-fee treatment in section 5. Other material amendments require both parties' written agreement. Posting a revision on this page alone does not amend an executed DPA. Subprocessor changes follow section 5, and deletion and backup schedule changes follow section 8.
